Company Registration (Thailand)

  1. Company Structure: Decide on the type of company structure you want to register. The most common structures for foreign businesses are a private limited company (Ltd.) or a representative office.
  2. Business Name Reservation: Choose a unique and suitable name for your company and submit it for reservation at the Department of Business Development (DBD) in Thailand. The name reservation process usually takes a few days.
  3. Memorandum of Association (MOA): Prepare the Memorandum of Association, which includes details about the company’s objectives, shareholders, capital, and other essential information. It must be signed by at least three shareholders in the presence of witnesses.
  4. Statutory Meeting: Conduct a statutory meeting with shareholders to approve the company’s MOA, Articles of Association (AOA), and appoint the directors.
  5. Company Registration: After the statutory meeting, submit the necessary documents to the DBD for company registration. The required documents usually include the MOA, AOA, and company application forms.
  6. Tax ID Registration: After the company is registered, you need to obtain a tax identification number (TIN) from the Revenue Department. This is required for tax purposes.
  7. VAT Registration (if applicable): If your company’s annual revenue is expected to exceed 1.8 million baht, you must register for Value Added Tax (VAT) with the Revenue Department.
  8. Social Security Registration: Register your employees for social security with the Social Security Office within 30 days of their employment start date.
  9. Work Permits and Visas: If you plan to hire foreign employees, you will need to obtain work permits and visas for them. The process can be complex, and it is advisable to seek assistance from a legal advisor or immigration specialist.
  10. Compliance Requirements: Once your company is registered, you must comply with various ongoing requirements such as filing annual financial statements, conducting annual general meetings, and renewing licenses and permits as required.
